1. Definitions and Interpretation

1.1 In these Terms and Conditions:

  • “Client”, “You” and “Your” refers to the person, company or organization engaging DOCUEX Ltd’s services
  • “Company”, “DOCUEX”, “We”, “Us” and “Our” refers to DOCUEX Ltd
  • “Services” means paper to CAD conversion, large format scanning, 3D visualization, 3D modeling, and related technical services
  • “Source Materials” means original drawings, documents, specifications, or physical items provided by the Client
  • “Deliverables” means CAD files, scanned images, 3D models, visualizations, or other digital outputs created by DOCUEX
  • “Agreement” means the contract formed between DOCUEX and the Client, incorporating these Terms and Conditions

1.2 References to singular include plural and vice versa. Headings are for convenience only and do not affect interpretation.


2. Services Overview

2.1 DOCUEX provides specialized technical services including:

  • Conversion of paper drawings to CAD formats (AutoCAD, SolidWorks, etc.)
  • Large format scanning and digitization
  • 3D modeling from 2D drawings or specifications
  • 3D visualization and rendering services
  • Technical drawing reproduction and modification

2.2 All services are provided subject to these Terms and Conditions and any written quotation or project specification agreed between the parties.


3. Project Scope and Specifications

3.1 Each project scope will be defined in a written quotation specifying:

  • Description of Source Materials to be processed
  • Required deliverable formats and specifications
  • Project timeline and milestones
  • Total project cost and payment schedule
  • Any special requirements or limitations

3.2 The Client must provide complete and accurate Source Materials. DOCUEX is not responsible for delays or additional costs arising from incomplete, damaged, or unclear Source Materials.

3.3 Any changes to the agreed project scope must be documented in writing and may result in additional charges and timeline adjustments.


4. Client Responsibilities

4.1 The Client must:

  • Provide Source Materials in good condition and suitable for processing
  • Ensure they have legal authority to authorize the work on all Source Materials
  • Respond promptly to requests for clarification or additional information
  • Review and approve deliverables within agreed timeframes
  • Make payments according to the agreed schedule

4.2 The Client warrants that all Source Materials provided do not infringe third-party intellectual property rights or contain confidential information belonging to others without proper authorization.


5. Quality Standards and Accuracy

5.1 DOCUEX will exercise reasonable skill and care in providing the Services and will work to industry-standard practices for CAD conversion and 3D modeling.

5.2 Accuracy of Deliverables depends on the quality and clarity of Source Materials. DOCUEX cannot guarantee absolute dimensional accuracy where Source Materials are:

  • Hand-drawn or lack precise measurements
  • Damaged, faded, or partially illegible
  • Inconsistent or contain conflicting information

5.3 The Client has 14 days from delivery to review Deliverables and notify DOCUEX of any errors or required corrections. Minor corrections will be made at no additional charge. Major revisions may incur additional fees.


6. Intellectual Property Rights

6.1 Source Materials: The Client retains all intellectual property rights in Source Materials provided to DOCUEX.

6.2 Deliverables: Upon full payment, the Client will own the copyright in Deliverables created specifically for their project. DOCUEX retains the right to use anonymized examples of work for portfolio and marketing purposes.

6.3 DOCUEX Tools and Methods: DOCUEX retains all rights in its proprietary processes, software, templates, and methodologies used in providing the Services.

6.4 DOCUEX may use Client projects as case studies or portfolio examples, provided that confidential information is not disclosed without written consent.


7. Confidentiality and Data Security

7.1 DOCUEX will treat all Client information and Source Materials as confidential and will not disclose them to third parties without written consent, except as required by law.

7.2 Digital files are stored securely with appropriate backup systems. DOCUEX maintains reasonable security measures but cannot guarantee absolute protection against all potential security threats.

7.3 Client files will be retained for 12 months after project completion, after which they may be deleted unless otherwise agreed in writing.


8. Payment Terms

8.1 Payments are due according to the schedule specified in the project quotation. Typical payment terms are:

  • 50% deposit upon project commencement
  • Remaining balance upon delivery of Deliverables

8.2 All prices are exclusive of VAT unless otherwise stated. Payment is due within 14 days of invoice date.

8.3 DOCUEX reserves the right to suspend work or withhold delivery of Deliverables if payments are overdue.

8.4 Additional work outside the agreed scope will be charged at DOCUEX’s standard hourly rates.


9. Delivery and File Formats

9.1 Deliverables will be provided in the file formats specified in the project quotation (e.g., .dwg, .PLN, DXF, .pdf, .jpg).

9.2 Files are typically delivered electronically via secure file transfer. Physical media delivery may be arranged for an additional fee.

9.3 DOCUEX will make reasonable efforts to meet agreed delivery dates but cannot guarantee exact timing due to factors beyond our control.


10. Limitation of Liability

10.1 DOCUEX’s total liability for any project, whether in contract, tort, or otherwise, is limited to the total fees paid by the Client for that specific project.

10.2 DOCUEX excludes liability for:

  • Indirect, consequential, or special damages
  • Loss of profits, business, or opportunity
  • Costs of substitute services
  • Delays caused by Client actions or Source Material issues

10.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.


11. Technical Warranties and Disclaimers

11.1 DOCUEX warrants that Services will be performed with reasonable skill and care using industry-standard practices.

11.2 Deliverables are provided “as is” based on the Source Materials provided. DOCUEX makes no warranties regarding:

  • Fitness for any particular purpose beyond the agreed specification
  • Compatibility with all software versions or systems
  • Absolute dimensional accuracy where Source Materials are imprecise

11.3 The Client is responsible for verifying that Deliverables meet their specific requirements before use in any critical applications.


12. Force Majeure

12.1 Neither party will be liable for delays or failures due to events beyond reasonable control, including but not limited to:

  • Acts of God, natural disasters, or severe weather
  • War, terrorism, civil unrest, or government actions
  • Pandemics or public health emergencies
  • Cyber attacks or major technology failures
  • Supplier failures or utility outages

12.2 The affected party must promptly notify the other party and use reasonable efforts to minimize the impact and resume performance.


13. Termination

13.1 Either party may terminate an Agreement with 14 days written notice if the other party materially breaches these Terms and fails to remedy the breach within that period.

13.2 Upon termination, the Client must pay for all work completed to the date of termination. DOCUEX will deliver any completed Deliverables upon receipt of payment.


14. Website Terms

14.1 Our website content is for general information and promotional purposes only and may be updated without notice.

14.2 Website use is at your own risk. We exclude all warranties regarding website content and functionality.

14.3 Our website may contain links to third-party sites. We are not responsible for the content or privacy practices of linked sites.

14.4 This website uses cookies to improve functionality and user experience. By using our website, you consent to cookie use as described in our Privacy Policy.


15. General Provisions

15.1 Governing Law: These Terms are governed by English law and subject to the exclusive jurisdiction of English courts.

15.2 Entire Agreement: These Terms, together with any written quotation or project specification, constitute the entire agreement between the parties.

15.3 Amendments: Changes to these Terms must be agreed in writing and signed by both parties.

15.4 Severability: If any provision is found invalid or unenforceable, the remaining provisions will continue in full effect.

15.5 Assignment: The Client may not assign their rights or obligations without DOCUEX’s written consent. DOCUEX may assign its rights to any successor business.


16. Updates to Terms

16.1 DOCUEX reserves the right to update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.

16.2 Clients are responsible for reviewing these Terms before engaging our services.
