1.1 In these Terms and Conditions:

3.2 Any changes to the agreed scope must be documented in writing and may result in revised timelines and costs.
4.1 The Client shall provide all Source Materials in a timely manner and ensure they have the necessary rights to submit such materials for conversion.
4.2 The Client is responsible for reviewing Deliverables and providing feedback within the agreed timeframe.
5.1 DOCUEX is committed to delivering accurate, high-quality conversions that faithfully represent the original Source Materials.
5.2 All CAD conversions are 100% manually drafted by experienced professionals to ensure precision.
5.3 If the Client identifies any inaccuracies, DOCUEX will correct them at no additional charge within the agreed revision period.
6.1 All intellectual property rights in the Source Materials remain with the Client or their licensors.
6.2 Upon full payment, the Client receives full rights to use the Deliverables for their intended purpose.
7.1 DOCUEX treats all Client materials and project information as confidential.
7.2 We implement appropriate technical and organisational measures to protect Client data in accordance with applicable data protection legislation.
7.3 The full details of how DOCUEX collects, uses and protects personal data are set out in our Privacy Policy. Data-protection requests (access, rectification, erasure, etc.) should be sent to privacy@docuex.co.uk.
8.1 Payment terms will be specified in the project quotation.
8.2 DOCUEX reserves the right to withhold Deliverables until full payment has been received.
9.1 Deliverables will be provided in the formats specified in the project scope (e.g., DWG, DXF, PLN, PDF).
9.2 DOCUEX will use reasonable efforts to meet agreed delivery timelines but shall not be liable for delays caused by circumstances beyond our reasonable control.
10.1 DOCUEX's total liability under any Agreement shall not exceed the total fees paid by the Client for the relevant project.
10.2 DOCUEX shall not be liable for any indirect, consequential, or special losses arising from the use of Deliverables.
11.1 DOCUEX warrants that all Deliverables will be produced with reasonable skill and care.
11.2 The accuracy of Deliverables is dependent on the quality and legibility of Source Materials provided by the Client.
12.1 Neither party shall be liable for any failure or delay in performance caused by events beyond their reasonable control, including but not limited to natural disasters, strikes, or system failures.
13.1 Either party may terminate an Agreement by providing written notice if the other party commits a material breach that remains unremedied for 14 days after notification.
13.2 Upon termination, the Client shall pay for all work completed up to the date of termination.
14.1 Use of the DOCUEX website is subject to these Terms and Conditions.
14.2 All content on the website is the property of DOCUEX Ltd and is protected by copyright.
15.1 These Terms and Conditions are governed by the laws of England and Wales.
15.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15.3 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.1 DOCUEX reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date.
16.2 Continued use of our services after any changes constitutes acceptance of the updated terms.
This section governs the supply of free Software Products (including the Docuex AutoCAD LISP Tools) and applies in addition to, and where there is any conflict prevails over, the earlier sections.
17.1.1 On download, DOCUEX grants You a free, non-exclusive, non-transferable, perpetual licence to install and use the Software Products on any number of computers under Your direct control or the direct control of Your immediate company.
17.1.2 The licence applies equally to individuals and businesses.
17.2.1 You shall not, and shall not permit any third party to:
17.2.2 You may modify the source code for Your own internal use, make backup copies, and use the Software Products for any commercial drafting work at no additional cost.
17.2.3 If You'd like to share the tools with a colleague, please direct them to the original download page at docuex.co.uk/lisp.html so they always get the latest version with any bug fixes.
17.3.1 The Software Products are delivered as a single zip file via direct download from the DOCUEX website. Optionally, You may provide an email address to receive the download link by email; in that case the email is used solely for delivery and (with Your continued consent) occasional product-update notifications.
17.4.1 The Software Products are designed for AutoCAD (full edition) versions 2018 and later. Many tools also work in AutoCAD LT, but a small number specifically require Visual LISP / ActiveX and therefore do not run on AutoCAD LT. These are clearly listed in the installation documentation supplied with the download and on the product page.
17.4.2 DOCUEX makes reasonable efforts to maintain compatibility with currently-supported AutoCAD releases, but does not warrant operation in any specific CAD environment.
17.5.1 The Software Products are provided "as is" and free of charge. To the maximum extent permitted by law, DOCUEX disclaims any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
17.5.2 Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under English law, including liability for death or personal injury caused by negligence, or for fraud.
17.5.3 Subject to 17.5.2, because the Software Products are supplied free of charge, DOCUEX accepts no liability for any direct, indirect, consequential, special, incidental, or punitive damages, or for loss of profits, data, business, or goodwill, arising from use of the Software Products. You are advised to test the tools on non-critical drawings before relying on them.
17.6.1 Free Software Products are provided without any guaranteed support level. You are welcome to email questions, bug reports or compatibility issues to info@docuex.co.uk; we usually respond within a few days and will fix confirmed bugs within reasonable timescales, but we do not commit to specific response times.
17.7.1 If You'd like DOCUEX to build a custom LISP utility specifically for Your workflow, please contact us at info@docuex.co.uk. Custom work is a paid service governed by a separate written quotation and, once accepted, by the main service-related clauses of these Terms (Sections 1-16).
17.8.1 The licence granted under this Section 17 terminates automatically if You materially breach any of the restrictions in Section 17.2. On termination, You must cease all use of the Software Products and destroy all copies in Your possession.
